Also known as:senior interests · superior interest · prior interest
Written by attorneys · grounded in primary & secondary sources — see below
A legal or equitable claim to property that enjoys priority over subsequently created interests because it arose or was perfected earlier in time. Priority is determined by the order of creation, recording, or other applicable rules that rank competing claims. A holder of a senior interest may enforce its rights ahead of junior claimants in foreclosure, eviction, or distribution proceedings.

Unrecorded Prior Contract Prevails
Sylvia Santos sold a parcel to Stonehaven Properties under a contract recorded immediately. Silverline Industries later bought the same parcel from Santos under a second contract and recorded first. Because Silverline took with inquiry notice of the earlier deal, Stonehaven's senior interest retains title and Stonehaven may quiet title against Silverline.
Landlord's Paramount Title
Simone Sanders leased farmland to Samuel Soto. A neighboring ranch holding an older recorded grazing right evicted Soto from part of the tract. Sanders's senior interest in the full parcel subjects her to liability for the partial eviction, entitling Soto to rent abatement and damages measured by the lost acreage.

Sabrina Shah granted a mortgage on her warehouse to Sterling Manufacturing to secure a construction loan. Stephen Shaw later obtained a judgment lien against Shah. Sterling's senior interest in the mortgage allows it to foreclose and satisfy its debt from sale proceeds before Shaw's judgment lien receives any distribution.
Junior Lien After Modification
Spectrum Financial held a senior mortgage on a restaurant property. After Santiago Sanchez recorded a junior lien for unpaid supplies, Spectrum and the borrower modified the senior mortgage to increase the loan amount for renovations. Spectrum's senior interest retains priority over Sanchez's lien because the modification was not materially prejudicial within the meaning of the governing rule.

Frequently Asked
4
How does a senior interest obtain priority over a later claim under a race-notice recording statute?+
A senior interest prevails when the subsequent purchaser fails to satisfy all three statutory requirements: good faith, valuable consideration, and lack of notice. Inquiry notice of the prior claim disqualifies the later purchaser from bona fide purchaser status, leaving the senior interest first in line.

What remedies does a tenant have when a senior interest held by a third party causes partial eviction?+
The tenant may continue the lease on the unaffected portion and obtain a proportionate rent abatement plus damages for losses caused by the eviction. Automatic termination of the entire lease is not required when only part of the premises is affected.

Does a modification of a senior mortgage destroy its priority over an intervening junior lien?+
The senior interest retains priority unless the modification is materially prejudicial to the junior lienholder and no reservation of modification rights exists. Ordinary business adjustments that enhance collateral value usually preserve the senior position.

When a junior mortgagee obtains a receiver before the senior mortgagee, what rights does the junior receiver have to collected rents?+
The junior receiver may apply collected rents first to taxes and reasonable maintenance expenses and then to the junior obligation. Uncollected rents and unauthorized prepayments must be turned over to a later-appointed senior receiver.
