Chattel Paper Purchase for Priority
Neptune Energy buys chattel paper from a dealer who owes money to a secured creditor claiming the paper as inventory proceeds. Neptune advances cash as new value, takes possession of the tangible records, and obtains control of the electronic copies while acting in good faith and in the ordinary course of its financing business. Because the paper contains no legend assigning it to another party, Neptune obtains priority over the prior security interest.
Non-Proceeds Chattel Paper Acquisition
Nobel Dynamics purchases chattel paper from a seller whose secured creditor claims an interest other than merely as proceeds of inventory. Nobel gives new value by extending fresh credit, takes possession of the authoritative tangible copies, and obtains control of the electronic copies in good faith and without knowledge that the purchase violates the secured party's rights. Nobel thereby gains priority over the competing security interest.
