Buyer Bears Storm Loss
Evelyn Ellison signed a binding contract on June 1 to buy a rural parcel with a cell tower from Eclipse Manufacturing for two million dollars, with closing set for July 15. On July 8 a lightning storm destroyed the tower. Evelyn refused to close at the original price. Because the contract formation gave Evelyn an equitable interest, she bore the risk of loss and remained obligated to pay the full price at closing.
Partial Payment Protects Purchaser
Ezra Eastman conveyed the same commercial building first by unrecorded deed to Enigma Technologies and later by installment contract to Elliot Edmonds. Elliot paid forty percent of the price, recorded the contract, and took possession.
