Where must the number of authorized shares be stated?+
The articles of incorporation must set forth the number of shares the corporation is authorized to issue. This requirement is mandatory under the Model Business Corporation Act and establishes the corporation’s capital structure from the moment of formation.
What happens if the articles omit the authorized-share figure?+
The corporation lacks a defined capital structure. Ownership percentages and profit rights tied to shares become unreliable because no shares can be validly issued without an authorized total stated in the articles.
May the board create new classes or series without amending the articles?+
No. The articles must identify each class or series, state the number of shares in each, and describe the terms before any shares of that class or series are issued. Board resolutions alone cannot supply missing charter provisions.
Does authorized stock equal the number of shares actually outstanding?+
