An assignment, indorsement, or other conveyance of the obligation secured by a mortgage that keeps the right of enforcement united with the mortgage itself. The transfer occurs in the secondary mortgage market when an original mortgagee or successor conveys both the debt and the security interest to the same recipient. Separating the obligation from the mortgage renders the note unsecured as a practical matter and produces economic waste.

Mortgage Assignment Without Note Delivery
National Naval assigned its mortgage on Imperial Maritime's warehouse to Dawn Coastal under one agreement while endorsing the promissory note to Prime Vessel under a separate agreement. After Imperial Maritime defaulted, Dawn Coastal recorded the mortgage assignment and sought foreclosure. Prime Vessel claimed enforcement rights based on possession of the note. The court united the mortgage with the note in Prime Vessel's hands because no document showed an intent to separate the rights.
Clerical Error in Note Transfer
Frontier Bio assigned the mortgage on Bridge Life Sciences' laboratory to Blue Pharmaceuticals as part of a portfolio sale. Due to a clerical mistake, Frontier Bio instead delivered the note to Prairie Bio in an unrelated unsecured transaction. Blue recorded the mortgage assignment and began foreclosure proceedings. Prairie Bio produced the note and asserted enforcement rights. The law presumes unity and awards enforcement to Blue because the mortgage assignment reflected the intent to transfer the secured obligation as a whole.
